Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 18, 2019, Margaret A. Breya, a named executive officer of MicroStrategy Incorporated (the “Company”), resigned from her position as the Company’s Senior Executive Vice President & Chief Marketing Officer. In connection with Ms. Breya’s resignation, the Company appointed Saurabh Abhyankar to serve in the new role of Executive Vice President, Marketing, which will assume many of the duties and responsibilities that Ms. Breya held as Chief Marketing Officer. Mr. Abhyankar had been serving as the Company’s Senior Vice President, Product Management.
